| Affilate Agreement |
This Agreement denotes our
terms and conditions for affiliation between you as an
independent entity and WehoVideo with respect to WehoVideo
serving as a fulfillment source for retail products
advertised for sale on your website properties.
Affiliation
WehoVideo sells DVD videos as well as magazines, books and
novelties. There are over 30,000 products represented in our
database and displayed on our website, available for
marketing promotion under this agrement. As products are
constantly changing and in time, become unavailable for
reasons beyond our control, it is your responsibility as our
marketing affiliate to choose and replace any products that
expire or no longer appear in our database or website. It is
your responsibility to properly and completely set up links.
We make instructions available to you in our affiliate area
which you will be given immediate access to upon completion
of your enrollment in our program.
Use of Products
You must plainly identify that the products offered on your
site are from WehoVideo.com either through text listing, or
by using one of our banners found on our banners page. Any
references you make to products on your site are your
responsibility. We cannot be held liable for any statements,
remarks, comments, commentary or advertising text that you
use on your site when linking to or
displaying our products.
Setting Up Links
You will be provided with complete linking instructions on
how to setup links to our site using your affiliate ID in a
variety of methods within the affiliate area of our site,
available upon your successful completion of the program
signup and login to the webmaster's area. You can choose
products from any category on our site and develop links for
any section, department, category or division as you desire
and will fit with the marketing scope of your website.
Order Processing
WehoVideo handles all order processing and fulfillment. We
take care of payments from customers, cancellations,
returns, customer service, and any commissions owed as a
result of sales from your website. If your links are not
properly constructed, you cannot receive credit for all of
your sales, so please be sure to install all links correctly
as we cannot be responsible for lost sales for inproperly
installed links or product representations.
Commission Rates
WehoVideo will pay a 20% commission rate based upon product
sales for all departments of our site. We do not have any
deductions for any processing charges other than deductions
for chargebacks and returns of products. Commissions are
paid monthly when you have a commission payment due of $50
USD or more. You may request a higher payout level by
contacting our affiliate manager at
info@westhollywoodvideo.com or by using our
contact page.
Customer Information
Customers who purchase products through your affiliation
with WeHoVideo will be deemed to be customers of WehoVideo.
WehoVideo is the owner of the information provided in
the purchase by each customer and this information will not
be provided to anyone outside our company for any
reason other than law enforcement. WehoVideo reserves the
right to market products to these customers directly or
indirectly.
Product Information
WehoVideo will provide as much accurate information as is
available on all products in our database.
Logo and Name Licensing
WehoVideo gives you by our agreement, non-exclusive,
completely revocable rights to use our logo, our trade or
website name, buttons, banners, text descriptions, and links
solely for the purpose of promoting our products and
identifying your website as part of our program.
Responsibility For Your Site
WehoVideo is not responsible for your website. We will not
develop, operate, maintain, or troubleshoot problems with
your website or materials that appear on your website. If
you experience technical issues with products we provide for
marketing our products we will correct those errors and
maintain them in our database and then advise you of the
corrective action taken. You cannot use your site or email
to to infringe upon the copyrights of any party. We will not
be liable for any copyright infringement your site causes
during the operation, maintenance or sales efforts on your
website. You agree by signing up for our affiliate program
that you will hold us harmless and indemnify WehoVideo
agains all claims, damages, and expenses, including but not
limited to, attorney's fees, relating to the development
operation and maintenance of your site or the contents
therein.
Spam and Email
You are not allowed to send unsolicited email containing any
links to WehoVideo products. If you email any advertisements
for products through our affiliate program, you must only
send this to opt in subscriber lists only. If a UCE
(Unsolicited Commercial Email) complaint is lodged against
your site for sending out emails with our product links in
it, we will disenroll you from our program.
Term of the Agreement
The term of this Agreement will begin after you have
completed the online affiliate signup process. Your signup
to our program is your agreement that you will abide
by the terms of this agreement. Our agreement with you is
good for 1 year and will be renewed each year under this
current contract agreement. Commission structures are
subject to change without notice. Cancellation of this
agreement may be made by either party in writing.
Relationship
You as our affiliate and WehoVideo are independent of each
other. You will be considered an independent contractor and
not an employee, partner, franchise or sales representative
of WehoVideo. You cannot make or accept any offers or
representations on our behalf. You are not allowed to make
any statement, in person or on your website that would
negate or alter anything written in this agreement.
Limitation of Liability
WehoVideo will not be liable for any damages, loss of
revenue, loss of sales, loss of profits, loss of data,
either directly or indirectly, resulting from our
affiliation together. Any total responsiblity to you in any
aggregate liability will not exceed the total of commissions
paid to you during the tenure of this agreement.
Disclaimers and Warranties
We make no direct, express or implied warranties, promises
or representations with respect to the affiliate program.
WehoVideo does not guarantee that you will make any income
from simple enrollment in this program. WehoVideo will not
be responsible for, but not limited to, any products sold
through this affiliation, including warranties of
functionality or fitness, merchantability, non-infringement,
or any implied or
indirect warranties. Technical difficulties may occur from
time to time and may cause temporary interruptions in
service to this program. We will not be held responsible or
liable for any service interruptions.
Acknowledgment
You acknowledge that you have read this agreement and agree
to all its terms and conditions. You understand that we may
at any time solicit customer referrals on terms that may
differ from those contained in this agreement or operate web
sites that are similar to or compete with your web site. You
have independently evaluated the desirability of
participating in the program and are not relying on any
representation, guarantee or statement other than as set
forth in this agreement.
Miscellaneous
This Agreement will be governed by the laws of the United
States and the State of California, without reference to
rules governing choice of laws. Any action relating to this
Agreement must be brought in the federal or state courts
located in Los Angeles and you irrevocably consent to the
jurisdiction of such courts. You may not assign this
Agreement, by operation of law or otherwise, without our
prior written consent. Subject to that restriction, this
Agreement will be binding on, inure to the benefit of and be
enforceable against the parties and their respective
successors and assigns. Our failure to enforce your strict
performance of any provision of this Agreement will not
constitute a waiver of our right to subsequently enforce
such provision or any other provision of this Agreement.
By signing up for this affiliate program, I agree to be
bound by the terms of the agreement herein.
